2.1 Service Overview

Practical Web Tools provides browser-based file conversion, processing, and utility tools, including but not limited to: document format conversion (PDF, Word, Excel, PowerPoint), image format conversion, audio format conversion, file compression and decompression, PDF editing tools (merge, split, sign), text utilities, financial calculators, and AI-powered chat interfaces utilizing locally-run models.

2.2 Local Processing Architecture

The Service is designed to process files locally within your web browser using client-side technologies including WebAssembly (WASM) and JavaScript. Except where explicitly stated otherwise, your files are not uploaded to, transmitted to, or stored on our servers. This architecture is fundamental to our privacy-first approach, but users acknowledge that browser-based processing may be subject to the technical limitations of their device and browser environment.

2.3 AI Chat Services

Our AI chat interface is designed to connect to locally-running AI models (such as those provided through Ollama) on your own hardware. The Service facilitates this connection but does not provide, host, or operate the AI models themselves. Users are responsible for installing, configuring, and operating any local AI infrastructure.

2.4 No Guarantee of Results

While we strive to provide high-quality conversion and processing tools, we do not guarantee that the output of any conversion or processing will be error-free, complete, or suitable for any particular purpose. File conversions may result in loss of formatting, data, or quality depending on the complexity of the source file and the limitations of the target format.

3. User Responsibilities and Conduct

3.1 Lawful Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not use the Service to process, convert, or handle any content that:

  • Violates any applicable federal, state, local, or international law or regulation
  • Infringes upon the intellectual property rights, privacy rights, or other rights of any third party
  • Contains malicious code, viruses, or any other harmful components
  • Is defamatory, obscene, threatening, harassing, or otherwise objectionable
  • Constitutes unauthorized advertising, promotional materials, or spam
  • Involves child sexual abuse material (CSAM) or exploitation of minors in any form

3.2 Prohibited Activities

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service

  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Use the Service to engage in cryptocurrency mining or other resource-intensive operations not intended by the Service

You are solely responsible for all files, documents, and content that you process using the Service ("User Content"). You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to use and process your User Content. 3.4 Compliance with Export Laws

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control, and the International Traffic in Arms Regulations maintained by the Department of State.

4. Intellectual Property Rights

YOU EXPRESSLY UNDERSTAND AND AGREE THAT FILE CONVERSIONS MAY RESULT IN LOSS OF DATA, FORMATTING, QUALITY, OR FUNCTIONALITY. YOU SHOULD ALWAYS MAINTAIN BACKUP COPIES OF YOUR ORIGINAL FILES. THE COMPANY IS NOT RESPONSIBLE FOR ANY DATA LOSS OR CORRUPTION THAT MAY OCCUR DURING THE CONVERSION PROCESS.

8. Limitation of Liability

8.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS, FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE, SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO THE COMPANY, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

8.3 Basis of the Bargain

You acknowledge that the Company has set its prices and entered into these Terms in reliance upon the disclaimers of warranty and the limitations of liability set forth herein, that the same reflect a reasonable and fair allocation of risk between you and the Company, and that the same form an essential basis of the bargain between you and the Company.

8.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent that we may not, as a matter of applicable law, disclaim any implied warranty or limit our liabilities, the scope and duration of such warranty and the extent of our liability shall be the minimum permitted under such applicable law.

The Company reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

10. Service Availability and Termination

We do not guarantee that the Service will be available at all times or that it will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue the Service, or any part thereof, at any time, with or without notice, for any reason, including but not limited to maintenance, updates, or business reasons. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10.2 Termination by Us

We reserve the right to deny access to the Service or any portion thereof to any user, at any time, for any reason, in our sole discretion, without notice or liability, including but not limited to if we believe that your use of the Service violates these Terms, any applicable law, or is harmful to our interests or the interests of another user or third party.

10.3 Effect of Termination

Upon termination of your access to the Service, all licenses and rights granted to you under these Terms will immediately terminate. The following sections shall survive termination: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and General Provisions.

11. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to any choice or conflict of law provision or rule.

11.2 Dispute Resolution

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Los Angeles County, California, and the parties hereby consent to personal jurisdiction and venue therein.

11.3 Informal Resolution

Before filing any legal action, you agree to attempt to resolve any dispute informally by contacting us. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within thirty (30) days of submission, either party may proceed with formal legal action.

11.4 Class Action Waiver

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Service, constitute the entire agreement between you and the Company concerning your use of the Service and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms, and these Terms shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein.

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

12.5 No Third-Party Beneficiaries

These Terms do not confer any third-party beneficiary rights. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and the Company.

12.6 Force Majeure

The Company shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Any notices or other communications provided by the Company under these Terms will be given by posting to the Service. For notices made by posting, the notice will be deemed given upon posting.

The headings in these Terms are for convenience only and shall not affect their interpretation.
